1. Introduction and Acceptance
These Terms & Conditions (“Terms”) govern your access to and use of www.nfortindustries.com and the associated Client Portal (collectively, the “Platform”), operated by NFORT Industries (OPC) Private Limited, a company incorporated under the Companies Act, 2013, with CIN U47711DL2025OPC446296 and registered office at B-165, Ground Floor, Madanpur Khadar Part-3, Sarita Vihar, South Delhi, New Delhi, Delhi, India — 110076 (“NFORT”, “Company”, “we”, “us”, “our”).
By accessing the Platform, submitting an enquiry, requesting a quotation, registering a Client Portal account, or placing an order, you (“User”, “Buyer”, “you”) agree to be bound by these Terms. If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. Definitions
- “Platform” means the website www.nfortindustries.com, the Client Portal, and any related subdomains or applications operated by NFORT.
- “Quotation” means a formal price and terms document issued by NFORT in response to a Buyer’s enquiry or RFQ.
- “Order” means a Buyer’s written acceptance of a Quotation, confirmed as per Section 6
- “Goods” means the products manufactured, sourced, or supplied by NFORT as described in a Quotation or Order.
- “MOQ” means Minimum Order Quantity, the minimum quantity of a product that NFORT will supply per Order.
3. Nature of the Website
The Platform is a business-to-business (B2B) wholesale platform. It is not intended for retail or individual consumer purchases. Product listings, prices, MOQs, and stock indicators displayed on the Platform are indicative and provided for informational purposes only. No content on the Platform constitutes a binding offer for sale. A binding transaction is created only when NFORT issues a formal Quotation and the Buyer accepts it in writing, in accordance with Section 6.
4. Eligibility
Use of the Platform, and particularly the Client Portal and wholesale pricing features, is intended for registered businesses, distributors, retailers, and institutional buyers. NFORT reserves the right to request business verification documents (such as GST registration, business incorporation certificates, or PAN) before granting Client Portal access or extending wholesale pricing.
5. Prohibited Use of the Platform
You agree not to: - Use the Platform for any unlawful purpose or in violation of these Terms. - Attempt to gain unauthorised access to any part of the Platform, other users’ accounts, or NFORT’s systems. - Copy, reproduce, scrape, or republish Platform content (including product images, specifications, and pricing) without written consent. - Submit false, misleading, or fraudulent information during account registration or order placement. - Use the Platform to transmit malware, spam, or any harmful code. - Interfere with the proper functioning of the Platform, including through denial-of-service attacks or automated scraping.
NFORT reserves the right to suspend or terminate access for any User found in breach of this Section.
6. Quotations and Order Confirmation
6.1 Quotation Validity
All Quotations issued by NFORT are valid for 30 days from the date of issue, unless a different validity period is explicitly stated on the Quotation document. Quotations not accepted within this period may be revised or withdrawn.
6.2 Order Confirmation
An Order is deemed confirmed only when: (a) the Buyer accepts the Quotation in writing (via email or Client Portal confirmation), and (b) the agreed advance payment (as per the Trade & Payment Terms) has been received by NFORT.
Verbal agreements, unconfirmed enquiries, or partial acceptances do not constitute a binding Order.
6.3 Price Revisions Prior to Confirmation
NFORT reserves the right to revise pricing on an unaccepted Quotation at any time prior to Order confirmation, due to fluctuations in raw material costs, freight rates, currency exchange rates, or other factors beyond NFORT’s control. Any such revision will be communicated to the Buyer before the Order is treated as confirmed
7. Minimum Order Quantity (MOQ)
Each product listed on the Platform is subject to a stated MOQ. NFORT reserves the right to decline orders below the applicable MOQ, or to offer such orders only at a revised per-unit price reflecting the smaller order volume.
8. Product Information and Specifications
NFORT makes reasonable commercial efforts to ensure that product descriptions, specifications, images, and datasheets published on the Platform are accurate and current. However: - Minor variations in colour, dimension, weight, or packaging within standard manufacturing tolerances do not constitute a defect or misrepresentation. - Product images are representative and may differ slightly from the delivered Goods due to manufacturing batch variation, screen display differences, or packaging updates. - Specifications are subject to change without prior notice as part of ongoing product improvement; the specification confirmed on the Quotation at the time of Order shall prevail.
9. Title, Risk, and Delivery
Unless otherwise agreed in writing (e.g., via specific Incoterms for export Orders), title to the Goods and risk of loss or damage passes to the Buyer upon dispatch from NFORT’s factory/warehouse to the carrier nominated for delivery. For export Orders, risk transfer shall follow the Incoterm explicitly stated on the Quotation (EXW, FOB, or CIF, as applicable).
10. Inspection and Acceptance
The Buyer is responsible for inspecting Goods promptly upon delivery and reporting any discrepancy in accordance with the Return / Refund / Cancellation Policy, including the 48-hour inspection window described therein. Failure to report a discrepancy within this window shall be deemed acceptance of the Goods as delivered.
11. Intellectual Property
All content on the Platform — including but not limited to text, graphics, logos, product images, catalogs, specification sheets, and the “NFORT” name and mark — is the property of NFORT Industries (OPC) Private Limited or its licensors, and is protected under applicable intellectual property laws. No content may be reproduced, distributed, modified, or used for commercial purposes without NFORT’s prior written consent.
12. Client Portal Accounts
12.1 Registration
Business accounts on the Client Portal must be registered with accurate company information and are subject to verification (including GST/business registration) before wholesale/tiered pricing is unlocked.
12.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify NFORT immediately of any unauthorised use of your account.
12.3 Suspension and Termination
NFORT reserves the right to suspend or terminate any Client Portal account found to be fraudulent, providing false verification documents, or otherwise in breach of these Terms or the agreed Trade & Payment Terms, with or without prior notice, at NFORT’s discretion.
13. Warranties and Disclaimers
NFORT warrants that Goods supplied will materially conform to the specifications confirmed on the applicable Quotation, subject to standard manufacturing tolerances described in Section 8. Except as expressly stated in these Terms or a specific Quotation, NFORT makes no other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, to the extent permitted under applicable law.
14. Limitation of Liability
To the maximum extent permitted by applicable law: - NFORT’s total liability arising out of or in connection with any Order shall not exceed the invoice value of that specific Order. - NFORT shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of business, loss of profit, loss of goodwill, or business interruption, arising from delivery delays, product non-conformity, or any other cause, except in cases of proven wilful misconduct or gross negligence on NFORT’s part. - Nothing in this Section limits liability that cannot be excluded or limited under applicable Indian law.
15. Indemnification
You agree to indemnify and hold harmless NFORT, its directors, officers, and employees from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or violation of any third-party rights.
16. Force Majeure
NFORT shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, labour disputes, government action, port congestion, customs delays, pandemics, or carrier disruptions. Performance obligations shall be suspended for the duration of such circumstances.
17. Confidentiality
Any non-public business information shared between the Buyer and NFORT in the course of a business relationship (such as pricing terms, credit arrangements, or product specifications developed for custom orders) shall be treated as confidential by both parties and shall not be disclosed to third parties without mutual consent, except as required by law.
18. Dispute Resolution
In the event of any dispute arising out of or in connection with these Terms or any Order, the parties shall first attempt to resolve the matter through good-faith negotiation. If the dispute is not resolved within 30 days, either party may pursue resolution through the courts of competent jurisdiction as specified in Section 19.
19. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to Section 18, any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts at New Delhi, and both parties consent to such jurisdiction.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely reflects the original intent.
21. Waiver
No failure or delay by NFORT in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise of a right preclude any other or further exercise of that right.
22. Entire Agreement
These Terms, together with the Privacy Policy, Shipping & Delivery Policy, Return / Refund / Cancellation Policy, and Trade & Payment Terms, and any Quotation/Order specific to a transaction, constitute the entire agreement between the Buyer and NFORT regarding use of the Platform and any Order placed, superseding any prior agreements or understandings, whether written or oral, relating to the same subject matter.
23. Amendments to These Terms
NFORT may revise these Terms at any time by posting an updated version on the Platform, with the “Last Updated” date reflecting the change. Continued use of the Platform following such changes constitutes your acceptance of the revised Terms. Material changes affecting active Orders will not apply retroactively to Orders already confirmed.
24. Notices
Any formal notice required under these Terms shall be delivered in writing to the addresses below and shall be deemed received upon confirmed delivery (email read receipt or courier proof of delivery).
